Solar inverter maker SMA acquires electromagnetic component supplier

SMA Solar Technology will purchase dtw, one of Poland's largest manufacturers of electromagnetic components and a long-time supplier to SMA. dtw specializes in the core components of solar inverters, such as inductors, coils and toroidal transformers.

August 1 update -- The approval of the Federal Cartel Authority was given on July 13, 2011 and Günther Cramer, Chairman of the Supervisory Board, declared the unanimous consent of the Supervisory Board on July 28, 2011. This means that the acquisition may be closed as per January 1, 2011. For 2011, the Managing Board of SMA expects a positive contribution of the transaction to operating income of ?20 to 25 million.

 

June 14, 2011 -- SMA Solar Technology AG (SMA/FWB: S92) will purchase dtw Sp.z o.o., one of Poland's largest manufacturers of electromagnetic components and a long-time supplier to SMA. dtw specializes in the core components of solar inverters, such as inductors, coils and toroidal transformers.

The companies expect the transaction to close in July 2011, subject to customary conditions.

SMA will be able to coordinate mechanical, electromechanical, and power electronics development better and faster with the addition of dtw, said Pierre-Pascal Urbon, who became SMA's CEO in May. Within the SMA Group, dtw will operate as an independent subsidiary and global competence center for electromagnetic components. dtw has supplied parts to SMA for about 10 years. 

dtw founder Stefan Domagala will continue to drive the research and development efforts of dtw and work in close cooperation with SMA developers. Magnetic materials  based on new alloys and high-frequency transformers optimized for high performance and low weight will be prioritized.

Co-founder Izabella Domagala will assist the integration of dtw and SMA in an advisory role. dtw currently has around 530 employees (including temporary staff). The company achieved EUR74 million in 2010 sales. The SMA Group generated sales of EUR1.9 billion in 2010, with 5000 employees.

Under SMA, dtw will continue to manufacture electromagnetic components in its modern Zabierzów, Poland production facilities. SMA inverter production will stay at its headquarters in Niestetal/Kassel as well as international sites in Denver, Colorado (US) and Ontario, Canada.

Through aquisitions, SMA is optimizing its supply chain and technological capabilities. dtw fits with this growth plan.
